These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and R.K Marketing Private Limited ("we", "us", "our"), a company registered in India with its principal office at 45, RPP Arcade, Sampige Road, near Hallimane Hotel, Malleshwaram, Bengaluru, Karnataka 560003, India. These Terms govern your use of our website at www.rkmarketing.site and any marketing services we provide to you.
By accessing our website, submitting an enquiry, or entering into a service engagement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.
We provide professional marketing services including but not limited to: brand strategy, digital marketing, search engine optimisation (SEO), social media management, content marketing, performance advertising campaigns, market research, and marketing consulting. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate written Service Agreement or Statement of Work.
We commit to delivering all services with reasonable skill, care, and diligence, in accordance with industry best practices and the specific requirements agreed in your Service Agreement. We will assign qualified personnel to your account and maintain appropriate professional standards throughout the engagement.
Any changes to the agreed scope of services must be documented in a written change order signed by both parties. We reserve the right to adjust fees accordingly for scope changes that materially increase the work required.
Fees are as specified in your Service Agreement. Monthly retainer fees are invoiced in advance at the beginning of each billing period. Project-based fees are invoiced according to the milestone schedule in your Service Agreement.
All invoices are due within 15 days of the invoice date unless otherwise specified in your Service Agreement. Payment must be made by bank transfer, UPI, or other method agreed in writing.
Invoices not paid within 30 days of the due date may attract interest at 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.
Where we manage paid advertising on your behalf, advertising spend is billed separately from our management fees. You are responsible for funding your advertising accounts. We will not deploy advertising spend in excess of your approved budget without prior written authorisation.

Upon receipt of full payment, you own all creative deliverables specifically produced for your engagement, including brand assets, campaign creatives, written content, and reports. Ownership transfers only upon full payment of all outstanding invoices.
We retain ownership of all proprietary methodologies, frameworks, processes, templates, tools, and pre-existing intellectual property used in delivering our services. Nothing in these Terms transfers ownership of our proprietary materials to you.
Where we use licensed third-party materials (stock images, fonts, software) in your deliverables, we will ensure appropriate licences are in place. Any restrictions on use of such materials will be communicated to you.
Both parties agree to keep confidential all non-public information received from the other party in connection with the engagement. This obligation survives termination of the engagement for a period of three years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
We cannot guarantee specific marketing outcomes, rankings, traffic levels, lead volumes, or revenue results. Digital marketing performance is influenced by many factors outside our control, including market conditions, competitor activity, platform algorithm changes, and the quality of your product or service. We commit to transparency, rigorous optimisation, and honest reporting throughout every engagement.
To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or in connection with these Terms or any service engagement shall not exceed the total fees paid by you to us in the three calendar months immediately preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits or business opportunity.
Either party may terminate an ongoing service engagement by providing 30 days' written notice. We may terminate immediately in cases of material breach, non-payment exceeding 30 days, or requests to engage in activities that violate platform policies or applicable law. Upon termination, we will provide a full handover of all account access, data, and materials.
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English.
We may update these Terms from time to time. We will notify existing clients of material changes by email. Continued use of our services after notification constitutes acceptance of the updated Terms.
